These Terms & Conditions ("Terms") govern your use of the websites, services and SMS messaging programs operated by Puulse Marketing Inc, a corporation doing business as Puulse AI ("Puulse AI", "we", "us", "our").

By submitting a form on our website, using our services, or consenting to receive text messages from us, you agree to these Terms.

This section governs our text messaging program and forms part of these Terms.

2.1 Program name

2.2 Program description

By providing your mobile phone number and giving your express written consent on our website, you agree to receive recurring text messages from Puulse AI (Puulse Marketing Inc). These messages may include:

• notifications that a free website preview you requested is ready to view;
• appointment confirmations and appointment reminders;
• follow-up messages to reschedule a missed appointment;
• replies to information you specifically requested from us;
• occasional promotional offers relating to our website design, hosting and maintenance services.

Messages are sent using automated technology. Your consent to receive text messages is not a condition of purchasing any goods or services.

2.3 How to join

You may opt in to the program by submitting the form at https://grow.puulse.ai/ with your mobile phone number and actively ticking the consent checkbox displayed above the submit button. The checkbox is not pre-ticked, and the form cannot be submitted without it.

You must be at least 18 years old and the authorized subscriber or customary user of the mobile phone number you provide.

2.4 Message frequency

Message frequency varies based on your interaction with us. You can generally expect up to 8 messages per month, and more during an active website build or around a scheduled appointment.

2.5 Message and data rates

Message and data rates may apply. Puulse AI does not charge for the messages themselves, but your mobile carrier's standard messaging and data charges will apply according to your plan. Please contact your wireless provider for details about your plan.

2.6 How to opt out — STOP

You may cancel at any time. Reply STOP to any message you receive from us. You may also reply with QUIT, END, CANCEL, UNSUBSCRIBE or REVOKE.

After you send STOP, we will send you a single confirmation message and then stop sending you text messages under this program. If you wish to rejoin, you may reply START or submit the form on our website again.

2.8 Carrier liability

Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your mobile carrier and is not guaranteed.

2.9 Supported carriers

The program is available on most major U.S. carriers, including AT&T, Verizon Wireless, T-Mobile, Sprint, U.S. Cellular, Boost, Cricket, MetroPCS, Google Voice and Virgin Mobile. Carriers are not liable for delayed or undelivered messages.

2.10 Privacy

Your privacy is important to us. See our Privacy Policy. We do not sell, rent, or share your mobile phone number or your SMS consent with any third party or affiliate for their own marketing or promotional purposes.

2.11 Changes to your mobile number

You agree to notify us if you change or deactivate the mobile number you provided, so that we do not send messages to a person who did not consent.

3. Our services

3.1 What we provide

Puulse AI provides website design, hosting, security and maintenance as a subscription service. Specific inclusions are described on https://grow.puulse.ai/ and in the plan you select.

3.2 Free preview

We build a preview of your website at no cost and with no payment method required. You are under no obligation to purchase. If you do not wish to proceed, you owe nothing and no charge is made.

3.3 Fees and billing

If you approve your preview and choose to proceed, you agree to pay a one-time setup fee and a recurring monthly subscription fee at the rates displayed at the time of purchase. Monthly fees are billed in advance and recur until cancelled. All fees are stated in U.S. dollars.

3.4 Cancellation

The subscription is month-to-month with no minimum term. You may cancel at any time by contacting notifications@puulse.ai. Cancellation takes effect at the end of your current billing period. Setup fees are non-refundable once your site has been launched.

3.5 Ownership and hosting

Your content remains yours. While your subscription is active, we host, maintain and secure your website. If your subscription ends, hosting and maintenance cease and your site will be taken offline. We will make a reasonable-effort export of your content available on request within 30 days of cancellation.

3.6 Your responsibilities

You represent that any content, logos, images and copy you supply are yours to use, do not infringe any third party's rights, and are lawful. You agree not to use our services for any unlawful, deceptive or abusive purpose.

3.7 Message frequency and rates

4. Intellectual property

All templates, code, designs, trademarks and materials created or supplied by Puulse AI remain our property except for the content you supply and the finished site delivered under an active subscription. You may not resell, sublicense or redistribute our underlying platform or templates.

5. Disclaimers

Our services are provided "as is" and "as available." We do not warrant that the services will be uninterrupted, error-free, or that any particular business result, ranking, traffic level or revenue will be achieved. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

6. Limitation of liability

To the fullest extent permitted by law, Puulse Marketing Inc's total liability arising out of or relating to these Terms or our services will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

7. Indemnification

You agree to indemnify and hold harmless Puulse Marketing Inc, its officers, employees and contractors from any claim arising out of content you supply, your use of the services, or your breach of these Terms.

8. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above will reflect any change. Material changes to the SMS program will be communicated to enrolled subscribers. Continued use of our services or the messaging program after a change constitutes acceptance.

9. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario. Nothing in this clause limits any statutory rights you may have under the consumer protection or telecommunications laws of your own jurisdiction.
